Amedisys, a publicly traded home health and hospice care provider headquartered in Baton Rouge, has agreed to combine with Optum, the companies announced this morning.

The agreement calls for the acquisition of Amedisys’s outstanding common stock in an all-cash transaction for $101 per share, according to the announcement. The acquisition is still subject to approval by Amedisys shareholders, regulatory approvals and other customary closing conditions.

Optum, a diversified health services company, made an unsolicited offer to acquire Amedisys earlier this month while the Baton Rouge company was already considering a merger with Option Care Health.

Option Care Health and Amedisys had announced an agreement May 3 to combine in an all-stock deal. Amedisys stockholders would have received 3.0213 shares of Option Care Health common stock for each share of Amedisys common stock they held when the transaction closed, or around $97.38 per Amedisys share based on Friday’s closing price.

However, the unsolicited offer from Optum, a diversified health services company, appeared to be a better deal. Amedisys’ share price spiked 15.5% premarket following the offer by Optum, Seeking Alpha reports.

Daily Report previously reported that Amedisys would have to pay Option Care $106 million if it terminated their agreement.
